Welcome to Tag Empire LLC. These Terms of Service ("Terms") govern your use of our website and freight dispatch services. By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Acceptance of Terms

By using our website or engaging our dispatch services, you confirm that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. These Terms apply to all visitors, users, and clients of Tag Empire LLC.

2. Description of Services

Tag Empire LLC provides freight dispatching services for owner-operators and small fleets, including but not limited to:

• Load booking and rate negotiation
• Broker setup and paperwork handling
• Route planning and optimization
• 24/7 dispatcher support
• Factoring coordination
• IFTA and compliance support

3. Eligibility

To use our services, you must:

• Be at least 18 years of age
• Hold valid operating authority (MC/DOT number)
• Maintain active cargo and liability insurance
• Comply with all federal and state transportation regulations
• Provide accurate and complete information

4. Fees and Payment

Our dispatch fees are based on a percentage of the gross load revenue, as agreed upon in our service agreement. Fees are:

• Transparent and disclosed before service begins
• Charged only on completed, paid loads
• Not applicable for weeks with no activity
• Subject to change with 30 days written notice

You are responsible for all broker payments, factoring fees, fuel, maintenance, and other operational costs.

5. No Forced Dispatch

Tag Empire LLC operates on a No Forced Dispatch policy. You retain full authority to accept or decline any load. We present options; you make the final decision. We are not responsible for lost revenue due to declined loads.

6. Client Responsibilities

As a client, you agree to:

• Provide accurate and up-to-date information about your equipment, authority, and insurance
• Maintain all required licenses, permits, and insurance coverage
• Communicate promptly with your dispatcher
• Comply with all load requirements and delivery schedules
• Pay all applicable fees in a timely manner
• Notify us immediately of any changes to your operating status

7. Limitation of Liability

Tag Empire LLC acts solely as a dispatch service provider. We are not a carrier, broker, or freight forwarder. We do not assume liability for:

• Cargo damage, loss, or delay
• Non-payment by brokers or shippers
• Accidents, violations, or regulatory issues
• Equipment breakdowns or maintenance issues
• Any indirect, incidental, or consequential damages

Our total liability shall not exceed the total fees paid by you in the three (3) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless Tag Empire LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of our services, violation of these Terms, or violation of any third-party rights.

9. Termination

Either party may terminate the service agreement with seven (7) days written notice. Upon termination:

• All outstanding fees become immediately due
• We will complete any in-progress loads
• Your information will be handled per our Privacy Policy

We reserve the right to terminate services immediately for violation of these Terms, fraudulent activity, or failure to maintain required insurance/authority.

10. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Tag Empire LLC and is protected by intellectual property laws. You may not reproduce, distribute, or create derivative works without our written consent.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, USA, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts located in Los Angeles County, California.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated revision date. Continued use of our services after changes constitutes acceptance of the new Terms.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
